Release working capital.
Keep customer control.
For an established company with effective credit control, confidential invoice discounting may release cash from unpaid invoices while the business manages its customer relationships.
Discuss confidential invoice discounting
Confidential invoice discounting is a receivables facility designed to operate without routine disclosure of the funding arrangement to customers. You normally retain collections. Confidentiality, eligibility and reporting are contractual conditions, not automatic features of every invoice-finance product.
Where confidentiality creates commercial value
A business supplying major trade customers may want to retain its existing collection processes and account-management relationships. Funding can support the gap between invoicing and payment while those customer terms continue.
With an active facility, eligible invoices can generate an advance, potentially up to 95% with some providers and often within 24 hours of submission. The agreed percentage and verification govern each case. Our principal invoice-finance audience is established companies seeking £500k+ facilities.

What changes after a breach or default?
The provider needs confidence in the ledger and the business’s ability to collect it. Expect questions about debtor ageing, reconciliations, disputes, credit notes and how receipts reach the nominated collection account. Good accounts alone do not resolve a poorly controlled ledger.
Review who can contact debtors for verification, the circumstances in which notification could occur, and what happens after a default or covenant breach. A confidential arrangement is not a promise that customers can never learn of it.
Compare discounting with the work of factoring
Factoring may include collection and ledger-management services. That can be valuable where the business wants operational support. Compare the service being purchased, the internal cost of credit control and the effect on customers, not just the fee percentage.
A strong debtor book can still contain excluded balances, overseas debts or a dominant customer. Ask how concentration limits and reserves affect drawings through the month, especially before payroll or a large supplier payment.
From a £2.4m ledger to £500k headroom
- Total ledger£2.4m
- Eligible debt£2m
- At assumed 85% advance£1.7m
- After reserves and drawings£500k headroom
Assumes a £2m limit, £100k reserves and £1.1m already drawn.

Assume £400k of a hypothetical £2.4m ledger is ineligible. At an assumed 85% advance, eligible funding is £1.7m, within a £2m limit. Deduct £100k of reserves and £1.1m already drawn: £500k headroom remains. The contractual limit is larger than the extra cash available. Every percentage and eligibility assumption in this example is illustrative.

A service fee may be based on turnover processed, with a minimum annual fee. The discount charge is normally linked to funds used and time outstanding. Establish survey, audit and credit-protection costs, receivables security, any debenture, and guarantee or indemnity requirements.

The questions
worth settling.
Is invoice discounting always confidential?
No. Check the agreement, verification rights and notification triggers. Product names alone do not establish confidentiality.
Do we have to use every invoice?
Whole-ledger and other structures have different eligibility and assignment terms. Do not assume a substantial ongoing facility permits selective use.
What if a customer pays late?
A debt can age out of eligibility or become subject to recourse. Review the effect on funding, collections and any separately agreed bad-debt protection.
